These Terms and Conditions ("Terms") govern your use of Vecrox LLC's website and services. By booking a call, signing a service agreement, or using our services, you agree to be bound by these Terms.
1. Services
Vecrox provides Google Maps lead generation services for residential plumbing businesses, including but not limited to Google Business Profile optimization, citation management, review generation systems, content posting, and call tracking under our Job Pipeline System.
The specific scope of services, deliverables, and guarantee thresholds for each client are defined in the individual Service Agreement signed at onboarding.
2. The Call Floor Guarantee
Subject to the conditions below, Vecrox guarantees a minimum number of tracked inbound calls from Google within 90 days of onboarding, as specified in your signed Service Agreement.
Guarantee conditions — the guarantee is void if:
- The client does not allow installation of the CallRail tracking number at onboarding
- The client makes unauthorized changes to their Google Business Profile during the 90-day window
- The client declines to implement the automated review request system
- The client's market is franchise-saturated at the time of signing. A market is considered franchise-saturated if 3 or more franchise chains occupy the top 3 Google Map Pack positions for the client's primary keyword within a 5-mile radius of their service area at the time of signing.
- The client fails to provide necessary access credentials within 7 days of onboarding
3. Payment Terms
Services are billed monthly in advance. Payment is due on the 1st of each billing cycle. Vecrox accepts payment via bank transfer or credit card through our designated payment processor. Invoices unpaid after 7 calendar days may result in service suspension with 3 business days written notice.
4. Month-to-Month Agreement
Our services operate on a rolling month-to-month basis with no minimum commitment beyond the initial 90-day guarantee window. Either party may terminate services with 30 days written notice. Fees paid for the current billing period are non-refundable except as outlined in our Refund Policy.
5. Client Obligations
To receive services, the client agrees to:
- Provide accurate business information and timely access to Google Business Profile
- Install and maintain the CallRail tracking number as directed
- Not make unauthorized modifications to deliverables during active service periods
- Respond to onboarding requests within 7 business days
6. Third-Party Data Processing
By using our services, you consent to your business information being processed by our third-party service providers (including Cal.com, CallRail, Close.com, and Google Workspace) as described in our Privacy Policy.
7. Intellectual Property
Upon full payment for the relevant period, all deliverables created for the client — including optimized profiles, citation corrections, post libraries, and review system configurations — become the permanent property of the client. Vecrox retains no ownership over client-facing deliverables after service termination.
The Job Pipeline System name, methodology, and internal processes remain the intellectual property of Vecrox LLC.
8. Limitation of Liability
Vecrox's total liability for any claim arising from or related to our services shall not exceed the total fees paid by the client in the 3 months prior to the claim. Vecrox is not liable for indirect, consequential, or incidental damages, including lost revenue or business opportunities, except as explicitly stated in the signed Service Agreement, to the maximum extent permitted by applicable law.
9. Governing Law
These Terms are governed by the laws of the State of Wyoming. Any disputes shall be resolved through binding arbitration in Wyoming, except where prohibited by law. Either party may bring claims in small claims court as an alternative to arbitration.
10. Changes to Terms
We reserve the right to update these Terms at any time. Active clients will be notified by email at least 14 days before material changes take effect. Continued use of services after that date constitutes acceptance of the revised Terms.
11. Force Majeure
Vecrox is not liable for any failure to meet service obligations caused by events outside its reasonable control, including changes to Google's ranking algorithms, Google Business Profile policies, or Maps platform functionality.
